‍These Terms and Conditions ("Terms") set forth the legally binding agreement between you ("you", "your", or "User") and The Loops ("The Loops", "we", "our", or "us") regarding your access to and use of The Loops. The Loops is a paid service that provides asynchronous design reviews and expert feedback. By accessing or using The Loops, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use The Loops.

1. Eligibility and Account Registration
To use The Loops, you must be at least 18 years of age or have reached the age of majority in your jurisdiction and have the legal capacity to enter into binding agreements. You agree to provide accurate and complete information during account registration and to keep your information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2. Service Access and Subscription
The Loops is offered on a subscription basis. Access to features, content, and review services is determined by your chosen subscription tier. All fees are stated in AUD or your local currency where applicable and must be paid in advance. Subscriptions automatically renew unless cancelled prior to the end of the current billing cycle. You may cancel at any time, but no refunds will be issued for partial periods unless required by law. We reserve the right to modify subscription plans, pricing, or features with reasonable prior notice. Continued use of The Loops after changes have been made constitutes your acceptance of the new terms.

3. User Submissions and Content Ownership
You retain ownership of all designs, materials, text, graphics, files, or other content you submit to The Loops ("User Content"). By submitting User Content, you grant The Loops a limited, non-exclusive, royalty-free, and irrevocable license to use, store, process, and analyse such content for the purpose of providing design review services, improving service quality, and enhancing system performance through machine learning.We will not publish or share your content with the public without your explicit permission. You agree not to upload content that is illegal, harmful, infringes on intellectual property rights, or violates the rights of others.

4. AI Use and Data Processing
Design reviews may involve both human and AI-generated feedback. User Content submitted to The Loops will be used to train, test, and enhance The Loops’ internal systems, including AI and machine learning components. By using The Loops, you acknowledge and agree that such use of your data is a necessary component of the service, and you cannot opt out of this data use.User Content will be handled in accordance with our data protection obligations and, where feasible, will be de-identified for the purpose of training models.The Loops does not share identifiable User Content for third-party AI training purposes without your explicit consent.

5. Acceptable Use
You agree to use The Loops only for lawful purposes and in accordance with these Terms. You must not: Access or use The Loops for any unlawful or unauthorised purposeInterfere with or disrupt the operation of The Loops reverse engineer, decompile, or modify any part of The Loops Misrepresent your affiliation or submit false or misleading contentWe reserve the right to suspend or terminate your access to The Loops without notice if we reasonably believe you have violated these Terms.

6. Intellectual Property
All content and materials provided by The Loops, including but not limited to software, branding, logos, interface designs, and written documentation, are the intellectual property of The Loops or its licensors. These materials may not be copied, reproduced, modified, or distributed without our express written permission.

7. Disclaimers and Limitation of Liability
The Loops is provided on an "as is" and "as available" basis. While we strive to offer accurate, helpful, and timely design feedback, we make no guarantees regarding the accuracy, completeness, or reliability of any feedback provided.To the fullest extent permitted by law, The Loops disclaims all warranties, express or implied, and shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption.

8. Governing Law and International Rights
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia. However, if you are a resident of another country, you may be entitled to additional protections under your local consumer laws. Nothing in these Terms affects any rights you are entitled to under your local laws.Any disputes arising from or relating to these Terms shall be subject to the non-exclusive jurisdiction of the courts of Victoria, Australia.
